Terms of Service

toPod, Inc. d/b/a ROI-AI — Effective Date: April 21, 2026

1. Introduction

These Terms of Service ("Terms") govern your use of the IEEPA CAPE CSV service ("Service") provided by toPod, Inc., a Delaware corporation doing business as ROI-AI ("ROI-AI," "we," "us," or "our"), accessible at roiaione.com.

By uploading documents or using the Service, you ("User," "you," or "your") agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Service Description

ROI-AI provides a data extraction and analysis tool. You upload 7501 Entry Summary PDFs, and we extract IEEPA tariff data and generate a CAPE Declaration CSV file for use in CBP refund filings.

What ROI-AI is: A technology service that processes customs documents and produces structured data output.

What ROI-AI is not: ROI-AI is not a licensed customs broker and does not provide customs brokerage services, legal advice, or regulatory guidance. We do not file CAPE declarations or any other documents with U.S. Customs and Border Protection ("CBP") on your behalf.

3. User Responsibilities

3.1. You are solely responsible for reviewing and verifying the accuracy of all data in the CAPE CSV before filing with CBP.

3.2. You sign the CAPE attestation. ROI-AI does not sign, endorse, or certify any filing made to CBP.

3.3. You are responsible for ensuring your filings comply with all applicable laws, regulations, and CBP requirements.

3.4. You represent that you have the legal right to upload and process the documents you submit to the Service.

4. No Guarantees

4.1. ROI-AI does not guarantee any refund amounts, CBP approval, or specific outcomes from using the CAPE CSV output.

4.2. ROI-AI bears no liability for CBP compliance actions, rejected entries, denied refunds, clawbacks, penalties, or any other consequences arising from your use of the Service output.

4.3. The Service is provided "as is." While we strive for accuracy, automated data extraction may contain errors. See Section 3.1.

5. Engagement and Pricing

5.1. After you upload files for review, ROI-AI will provide a service agreement and pricing proposal.

5.2. Work begins upon your acceptance of the proposal. Deliverables and timelines will be specified in the service agreement.

6. Payment

6.1. Payment is due within 7 days of invoice date.

6.2. Invoices are issued via Mercury and payable by ACH transfer.

6.3. Late payments may result in suspension of the Service. ROI-AI reserves the right to charge interest of 1.5% per month on overdue balances.

7. Data Processing

7.1. Uploaded documents and generated outputs are processed and stored on AWS infrastructure (S3, US regions).

7.2. Data is encrypted at rest and in transit.

8. Intellectual Property

8.1. You retain ownership of your uploaded documents and the data contained within them.

8.2. ROI-AI retains ownership of the Service, including all extraction algorithms, processing pipelines, and software.

8.3. The CAPE CSV output is yours to use for its intended purpose once delivered.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, ROI-AI's total aggregate liability for any claims arising from or related to the Service is limited to the fees you paid to ROI-AI in the 12 months preceding the claim.

9.2. In no event will ROI-AI be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost refunds, or regulatory penalties, regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless ROI-AI, its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your CBP filings, or your breach of these Terms.

11. Term and Termination

11.1. These Terms remain in effect while you use the Service.

11.2. Either party may terminate by written notice. Termination does not affect payment obligations for Services already rendered.

11.3. Sections 4, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in New York, New York.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email. Continued use of the Service after changes take effect constitutes acceptance.
